The Nomination Committee of the Company (the “NC”) was established on 26 March 2012, the majority of the NC members are Independent Non-executive Directors which is in line with the requirements under Listing Rule 3.27(A).

The principal duties of the NC are to review the structure, size, composition of the Board, identify and nominate individuals suitable qualified to become board members, make recommendations to the Board on the appointment or re-appointment of directors and succession planning for directors and assess the independence of Independent Non-executive Directors.

The latest terms of reference of the NC were adopted by the Board on 25 November 2025, which are available on the Stock Exchange’s website and the Company’s website.
